SECOND AMENDMENT TO

KELLIWOOD TERRACE, SECTION ONE

RESTRICTIONS

THE STATE OF TEXAS

COUNTY OF FORT BEND

WHEREAS, Willow Fork Associates, Ltd., as Declarant, caused that certain instrument entitled "Kelliwood Terrace, Section One Restrictions" ("the Restrictions") to be recorded in the Real Property Records of Fort Bend County, Texas on June 26, 1989 under Clerk’s File No. 8932606, which restrictions imposed various covenants, conditions and restrictions upon the following properties, to-wit:

Lots 1 through 23, Block 1;

Lots 13 through 20, Block 2;

Lots 1 through 58, Block 3;

Lots 1 through 52, Block 4;

Lots 1 through 8, Block 5;

Kelliwood Terrace, Section One (1), a subdivision in Fort Bend

County, Texas according to the map or plat thereof recorded in

Slide Nos. 982A and 982B of the Map Records of Fort Bend

County, Texas.

and,

WHEREAS, the Restrictions were previously amended by instrument entitled "First Amendment to Kelliwood Terrace, Section One Restrictions" ("the First Amendment") recorded in the Real Property Records of Fort Bend County, Texas on October 6, 1989 under Clerk’s File No. 8950885; and

WHEREAS, the Restrictions provide for amendment during the first twenty (20) year period thereof by an instrument signed by the owners of not less than seventy-five percent (75%) of the lots; and

WHEREAS, the undersigned, being the owners of not less than seventy-five percent (75%) of the lots subject to the Restrictions desire to further amend the Restrictions;

NOW, THEREFORE, the undersigned, being the owners of not less than seventy-five (75%) of the lots in Kelliwood Terrace, Section One, subject to the Restrictions, hereby amend the Restrictions as follows:

Paragraph 1 of the First Amendment is hereby deleted in its entirety, it being the intent of this amendment to authorize the Maintenance Fund to be used for whatever purposes, including capital improvements, deemed by Kelliwood Fund, Inc., to be of general benefit to the owners or occupants of lots subject to the Restrictions.

Except as amended herein, all provisions in the Restrictions remain in full force and effect.

Executed on the dates set forth below, to be effective upon recording in the Official Public Records of Real Property of Fort Bend County, Texas.

BEFORE ME, the undersigned authority, on this day personally appeared David Crawford , known to me to be the person whose name is subscribed below, who,

upon oath, did depose and state as follows:

My name is David Crawford I am the President of Kelliwood Fund, Inc. ("the Association"). I am over the age of twenty-one (21) years, I have never been convicted of a crime and I am fully competent to make this affidavit. Attached hereto are consents executed by the owners of properties in Kelliwood Terrace, Section One (1), a residential subdivision in Fort Bend County, Texas. I certify that the attached consents constitute the written agreement of owners representing at least seventy-five percent (75%) of the lots in Kelliwood Terrace, Section One (1), to amend the Restrictions for Kelliwood Terrace, Section One (1). This certification is based upon the ownership records of the Association.
